Çemtaş Çelik Makina Sanayi Ve Ticaret A S, The profit distribution policy has been prepared within the framework of the provisions of the Turkish Commercial Code, the Capital Markets Law, the Dividend Communiqué of the Capital Markets Board and in accordance with the provisions of the Articles of Association.

There are no privileges regarding participation in the company's profit and distribution of dividends.

Our company distributes profits within the framework of the provisions of the Turkish Commercial Code, Capital Market Legislation, Tax Legislation and other relevant legislation, as well as the articles of the Articles of Association regarding profit distribution.

In determining the profit distribution, as long as the relevant regulations and financial possibilities allow, considering our long-term company strategy, investment and financing policies, profitability and cash situation, the net distributable period profit calculated within the framework of the Capital Markets Regulations can be met from our legal records, to our shareholders at the maximum rate, depending on the decision of the General Assembly. distributed in the form of cash and/or bonus shares.

Provided that the profit distribution starts at the latest as of the end of the accounting period in which the General Assembly meeting, for which the distribution decision is made, it is aimed to be made within 6 months at the latest following the General Assembly meeting, and the date of profit distribution is decided by the General Assembly. Dividends may be paid in equal or different installments within the framework of the provisions of the legislation, provided that the decision is made at the General Assembly meeting.

The dividend is distributed equally to all existing shares as of the distribution date, in proportion to their shares, regardless of their issuance and acquisition dates.

The Board is committed to take all measures in terms of place, time and form to ensure that the annual profit is distributed to the shareholders as soon as possible within the framework of the legislation.
