Çemtaş Çelik Makina Sanayi ve Ticaret Anonim Şirketi "Code of Ethics", which all managers and employees are obliged to comply with, has been defined in order to increase the corporate value of the Company and to add financial value to its shareholders.

The Board of Directors, managers and all employees are expected to comply with the ethical rules. with these rules it’s being targeted to create awareness of institutional effects, behaviour and attitudes of the Company employees and to ensure that the necessary transparent, honest and reliable communication environment is created in all decisions and business management processes regarding the Company and its final targets of the management as a public company towards the relations with the shareholders.

Shareholders
  • The main purpose of Çemtaş A.Ş. is to ensure, by creating added value, the most effective management and valuation of the shareholders investments..
  • Regardless of the amount of shares owned, each shareholder is given the same value.
  • Shareholders, are guided and informed in accordance with the relevant legislation published by C.M.C.
  • A suitable environment is prepared for the use of various communication channels so that the shareholders can communicate comfortably.

Operating Standards
  • It is essential that the company's activities are carried out within the framework of the principles of transparency, honesty and accuracy.
  • It is essential to comply with all kinds of legal rules and limitations related to company activities.
  • The rights and freedoms of the people, institutions and organizations that are in contact within the framework of the employees and activities are respected.

Employees
  • Employees must act in accordance with laws, regulations and internal regulations of the Company.
  • It is ensured that all kinds of rights of the employees are protected by law. It is ensured that the personal rights of each employee are given in full/accurate and timely manner. The necessary base is prepared for a safe and healthy working environment.
  • İt is embraced to treat Employees fairly, offering equal opportunities under equal conditions.
  • It is unacceptable that any employee is subjected to of any kind of psychological harassment like discrimination, exclusion, intimidation, etc. or to cause similar discomfort.
  • It is unacceptable for any employee to be harassed or disturbed in sexual, social and physical way or to cause similar discomfort
  • Employees are expected to embrace and protect the name and dignity of Çemtaş A.Ş.
  • Employees are obliged to work in harmony with their colleagues and managers at the workplace, to establish good and humane relations with private or official persons and organizations that have a relationship with the company, and to perform their jobs honestly and quickly. In case of detection of employees who act against the principles of business ethics, this situation should be reported to the Management together with their documents.
  • Employees have the liability to protect the interests of the Company's business and workplace and to refrain from any behavior that may harm this interest. In this context, employees cannot use Company facilities for their private interests; cannot engage in any illegal attitude or behavior and is obliged to forward such offers to the Management.
  • Employees may not accept official or private, permanent or temporary, paid or unpaid work or engage in trade without the permission of the company.
  • Employees are obliged to keep the information and secrets they learn about their job and organization, whether related to their duties or not. Learned secrets, information or documents related to them cannot be given or disclosed to unauthorized persons or authorities. This obligation continues even after the employee's relationship with the organization ends.
  • The employee is liable to timely notify and submit to the Human Resources Department any changes in family, marital and address status, personal, family or relatives information based on the rights and obligations set forth in contracts and/or regulations, and the documents on which they are based.
  • Each employee's proposal for the improvement of the organization and processes is seen as an opportunity and forwarded to the relevant unit manager.

Gift Policy
  • Gifts that may go beyond the purpose of the gift (may overshadow the impartiality of the other party/high material value), leave the parties in a difficult situation, cannot be given to the associated companies/employees, and such gifts cannot be accepted by the employees.

Customers – Competitors – Suppliers
  • It is essential that relations with customers and suppliers are carried out on a professional basis that is long-term, based on trust, and will result in favor of the Company.
  • Çemtaş A.Ş. cares to develop cooperation with partners who embrace its ethical values.
  • No goods or services are offered that will harm and/or mislead customers.
  • It is not possible to contact and make an agreement with competitor companies for the purpose of boycotting customers and suppliers.
  • The company considers its duty to act with the principles of fair competition in its domain of activities and expected the same sensitivity from other companies operating in the sector.
  • Negative statements are not made to the press by naming competitors and their managers.
  • No agreement are made with competitors in order to prevent new competitors, fixing prices of goods and services or sharing the region / market / customer.
  • Unethical or illegal means are not used in accessing information about other companies, and employees are prevented from using these methods. However, there is no harm in using the publicly available information of companies (website, price list, advertisement, published article, etc.).
  • Suppliers, customers' information (commercial, personal, etc.) are hidden and protected.

Public Disclosure
  • Employees can’t make a verbal or written statement on behalf of the Company.
  • Information tools included in the Company's Disclosure Policy are used to ensure that shareholders and stakeholders benefit from it in the easiest way at a maximum level.
  • It is ensured that the information that the Company is obliged to inform the public, as well as the information needed by the shareholders and stakeholders, is easily accessible and equally provided as well as updated.

Managing Board
  • Members of the Board do not bow to pressures that may cause consequences against the shareholders, do not accept financial benefits, and do not cover up any corruption.
  • Members of the Board do not disclose confidential and trade secret information about the Company to the public.

Social Responsibility
  • Çemtaş A.Ş. acts with a sense of social responsibility in its sector.
  • Çemtaş A.Ş. supports its employees to voluntarily participate in social and community activities in order to raise awareness of social responsibility.
  • Çemtaş A.Ş. pays utmost attention protecting the environment both in its own plant and in the facilities of its business partners.
  • Çemtaş A.Ş. uses natural resources and energy resources efficiently and prevents their waste.

Compliance with the Rules
  • Without exception, all Çemtaş A S employee will try to apply these principles to the end. In addition, employees are obligated to inform immediately the management in case of detection of any element that violates the ethical rules. If there is any business loss due to complying with these rules, this situation will not be considered as a negative outcome.
